Welcome to eestifirma.ee (“the Website”). The Website is operated by Eesti Firma OÜ (“the Contractor,” “we,” “us,” or “our”). These terms and conditions (“Terms”) govern your use of the Website and the services provided by the Contractor, including but not limited to company registration, sale of ready-made companies, accounting services, licensing services, legal services, and business consulting or other similar services (“Services”).

By accessing or using the Website and Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Website or Services.

Use of the Services

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services.

Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws.
  • Provide false or misleading information in connection with your use of the Services.
  • Engage in any fraudulent, deceptive, or harmful activities.

Business Use Only

By using our Services, you acknowledge and agree that:

  • You are using the Services solely in the capacity of a business client and not as a consumer. This means that your use of the Services is for business, commercial, or professional purposes.
  • You are not entitled to consumer protection rights or guarantees that apply to individual consumers under applicable law.
  • The Services and any related transactions are conducted in a business-to-business (B2B) context, and all warranties, rights, and remedies available to consumers under consumer protection legislation are explicitly excluded.
  • You accept and assume all business risks associated with your use of the Services. This includes, but is not limited to, financial, legal, operational, and market risks. You acknowledge that the Contractor is not responsible for any business losses or damages you may incur as a result of using the Services.

User Representations and Warranties

By using the Website and Services, you represent and warrant that:

  • Non-Nominee Status: You are not acting as a nominee or in a capacity that involves serving as a figurehead for another person or entity in any capacity, including as a nominee director, nominee shareholder, or similar roles.
  • Non-PEP Status: You are not a Politically Exposed Person (PEP) as defined under applicable anti-money laundering laws and regulations.
  • Sanctions: You are not subject to any economic or trade sanctions, embargoes, or restrictions imposed by any government, international organization, or regulatory authority.
  • Legality of Income: All funds and income used in connection with the Services are derived from legal sources and are not associated with any form of criminal activity or illegal conduct.
  • High-Risk Jurisdictions: You do not conduct business with or operate in any high-risk third countries as identified by EU relevant authorities.
  • Anti-Money Laundering and Counter-Terrorism Financing: The Services you order are not intended to be used for money laundering or the financing of terrorism.

Fees and Payments

  • Fees: Fees for our Services are as specified on the Website or in separate agreements. All fees are subject to change, the cost of the Services may be subject to additional applicable taxes, duties, or charges imposed by relevant authorities, which will be added to the total fee unless otherwise stated.
  • Payments: Payment terms are as agreed upon during the engagement process. Payments must be made in full and on time to avoid interruption or termination of Services.
  • Refund Policy: The Contractor’s fees are non-refundable. Any amount paid by the Client can be used to order other contracted services from the Contractor. Funds paid by the Client to the Contractor remain on deposit and can be used within one year from the payment date.

Disclaimers and Limitation of Liability

  • Disclaimers: The Services are provided on an “as-is” and “as-available” basis. We make no representations or warranties of any kind, express or implied, regarding the Services. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
  • Limitation of Liability: In no event shall the Contractor, its affiliates, or their respective directors, officers, employees, or agents be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Services. Our total liability to you for any claims arising from or related to the Services shall not exceed the amount you paid to us for the Services.
  • Indemnification: You agree to indemnify, defend, and hold harmless the Contractor, its affiliates, and their respective directors, officers, employees, or agents from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Services or your violation of these Terms.

Miscellaneous

  • Intellectual Property: All content and materials on the Website, including text, graphics, logos, and images, are the property of the Contractor or its content suppliers and are protected by copyright and other intellectual property laws. You may not use any content from the Website without our prior written permission.
  • Confidential Information: Any non-public information disclosed by you or us in connection with the Services that is designated as confidential or that reasonably should be understood to be confidential is considered “Confidential Information.”
  • Use and Protection: Each party agrees to use Confidential Information solely for the purpose of performing obligations under these Terms and to protect the Confidential Information from unauthorized use, access, or disclosure with at least the same degree of care it uses to protect its own confidential information.
  • Governing Law: These Terms are governed by the laws of the Republic of Estonia, with the principal legal act being the Law of Obligations Act. Any disputes shall primarily be resolved through negotiations, or, if necessary, through court proceedings in the Harju County Court.
  • Changes to Terms: We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Website. Your continued use of the Services after any changes to the Terms constitutes your acceptance of the new Terms.

Entire Agreement

These Terms constitute the entire agreement between you and the Contractor regarding your use of the Services and supersede all prior agreements and understandings, whether written or oral, regarding such use.
