Figures are starting fees for our work. Estonian and Lithuanian formation packages include the notary and state registration fees; licence, fund and gaming fees exclude regulator charges and share capital.
The decision is three-way: which country, which registration route, and whether you need a new company at all. Estonia suits founders who reinvest — 0% corporate income tax on retained profit, 22% only on distribution, share capital from €0.01 per shareholder. Lithuania requires €1,000 of capital and taxes profit at 17%, with 0% for the first two years for qualifying new small companies. If you hold an e-Residency card, the fully online route is fastest and cheapest; if you do not, a notary visit, a notarised power of attorney or a ready-made company reaches the same entity without one.
MiCA — Regulation (EU) 2023/1114 — took effect for crypto-asset service providers on 30 December 2024. The rulebook is now the same in every member state, and a CASP authorisation granted by one national regulator opens the whole EU market. The question is no longer whose rules you prefer, but whose regulator you file with and what the entity underneath costs. Capital follows the service class: €50,000 for advisory and intermediation, €125,000 for custody and exchange, €150,000 for a trading platform. Budget three to six months for a CASP application.
These authorisations come from financial and gaming supervisors, not from the crypto regimes above: in Estonia the Financial Supervisory Authority and the Financial Intelligence Unit, and for funds in Lithuania the Bank of Lithuania. What they demand is different too — share capital fixed by statute, a governance and AML file the regulator reviews, and decision periods counted in months rather than weeks. Crowdfunding and fund management appear twice, once under Estonian supervision and once under Lithuanian, so the choice there is which regulator you would rather answer to.
Registration is the short part. From the day it exists, an Estonian OÜ files declarations, reports annually and keeps records that hold up to the Tax and Customs Board — whether or not it trades. This group covers that standing obligation, the specialist case of crypto-asset bookkeeping, and the procedure for closing a company cleanly once it has served its purpose.
An Estonian company must stay reachable, documented and properly represented whether or not anyone from the board is in the country. These three services cover that administrative layer: a registered presence in Tallinn, certified documents that satisfy foreign banks and counterparties, and lawyers on call when a contract, claim or dispute needs one.

Structure and jurisdiction
Legal form and country are chosen against the activity, not by default — an Estonian OÜ, a Lithuanian UAB or MB, or a licensed entity in Estonia, Lithuania, Poland or Czechia. For regulated work this decision sets everything that follows, so nothing is drafted until it is settled.
Documents prepared
Founding documents are drafted to the standard the receiving registry applies. A licence file also carries AML procedures, risk disclosure and IT and security policies. Pace here depends largely on you: how fast signed, notarised and, where the case requires it, apostilled papers come back.
Filed with the registry or regulator
A formation goes to the Estonian e-Business Register, or in Lithuania through a notary to Registrų centras. A licence application goes to the national financial regulator of the chosen member state, which evaluates it and verifies compliance before granting approval.
Ongoing support
Registration starts a calendar rather than closing one. We keep the company filing on time and stay on the file when the structure, the owners or the licence changes.
Eesti Firma OÜ holds trust and company service provider licence FIU000144, issued by the Estonian Financial Intelligence Unit. The licence is on a public register, so you can verify the provider before you sign anything — the same check your bank or payment provider will run on your company later.
Membership of the ECCI is granted on the chamber's own assessment of a company's standing, and it is checkable independently of anything published on this site.

Market access is not the variable — a MiCA licence works across every member state. Cost, timeline and capital are. Czechia is quoted at €3,000 and 3–4 weeks, Lithuania from €3,500 and 30–45 days, Poland from €5,500 and roughly a month. The company comes first — a regulator authorises a legal entity, not a plan. Structure it for the licence from the start: share capital, board and AML roles follow the class you apply for, and MiCA capital ranges from €50,000 to €150,000. In Lithuania, formation and the crypto licence application run as one engagement from €3,500.
No. Registration with an e-Residency card is fully online and the registry usually approves the company within one business day; founders without e-Residency can incorporate by notarised power of attorney. A virtual office in Estonia then supplies the registered address and contact person from €400 per year, so no premises are needed.
Yes. Non-residents are the core of the practice, with clients in more than 90 countries. An Estonian OÜ allows 100% foreign ownership and a board member needs no Estonian residency. A board based entirely abroad usually needs a local contact person, included in the virtual office package alongside the registered address.
An Estonian OÜ is usually registered in 1–5 business days, or about one day on the e-Residency route. A crypto authorisation adds 3–4 weeks in Czechia or 30–45 days in Lithuania. A MiCA licence for a CASP takes three to six months; an Estonian financial institution licence is reviewed in roughly two months.

Every OÜ files an annual report through the e-Business Register within six months of its financial year-end — dormant companies included. VAT registration is generally required once taxable supply passes €40,000 in a calendar year, and KMD returns then fall due monthly. Accounting in Estonia runs from €75 a month without a VAT number, €150 with one.
