Quick answer
A board member changes the company’s address in the e-Business Register and signs the application digitally. If the new address is in the same city or rural municipality, there is no state fee and the articles of association stay as they are. If it is in another municipality, you also file amended articles and a shareholders’ resolution and pay a €25 state fee. The same fee applies whenever the contact person changes. The registrar usually makes the entry within one to five working days.
Companies move for ordinary reasons: a new office, a founder who leaves Estonia, an address provider that closes, or a switch from the home address entered at company registration to a professional one. Whatever the reason, the board has to update the registered address, because until the entry is changed official mail keeps going to the old one. This guide explains how to change your company address in Estonia: the procedure itself is short, and what varies is the paperwork.
Three Situations, Three Sets of Documents
What the e-Business Register asks for when you change a registered address depends on where the company is going. The dividing line is the local government unit: a city (linn) or rural municipality (vald).
| New address | Articles of association | Extra documents | State fee |
|---|---|---|---|
| Same city or rural municipality | Unchanged | None | None |
| Another municipality in Estonia | Amended, naming the new location at municipality level | Shareholders’ resolution on the amendment and the full new text of the articles | €25 |
| Outside Estonia | Amended, with the new location | Shareholders’ resolution, new articles and the appointment of a licensed contact person with a fixed term | €25 |
A move within Tallinn, say from Kesklinn to Lasnamäe, takes a few clicks and a signature. A move from Tallinn to Tartu changes the articles, because under the Commercial Code they state the company’s location. A foreign address is allowed too under the Commercial Register Act, as long as the company has a licensed contact person in Estonia.
How to Change a Company Address in the e-Business Register
- Log in with your ID card, e-Residency card, Mobile-ID or Smart-ID, open My dashboard, select the company and click Change data.
- In the Contacts section, replace the registered address. Estonian addresses are picked from the national address system; a foreign address is typed in by hand. If the contact person changes too, remove the old one and add the new one with the end date of their term. Check the email as well: the register sends its notices there.
- If the municipality changes or the address moves abroad, upload the new articles in the Articles of association section and the shareholders’ resolution under Documents, both digitally signed. Both become public once filed.
- Sign the application. One board member’s signature is enough unless the register shows that board members may only act jointly.
- Pay the state fee, if one is due, through the bank link in the portal. The application is then submitted automatically.
- The registrar decides within one to five working days.
Filing Without an e-Residency Card
A board member without an Estonian digital signature cannot submit the application online. The alternative is an Estonian notary, who files it on the company’s behalf: you sign at the notary’s office, give a representative in Estonia a power of attorney, or sign the documents on paper. The route adds days rather than weeks. It is a normal, well-trodden option rather than a fallback: many founders without e-Residency file every change this way, and we arrange it for our clients.
What the Portal Does Not Ask For
The form does not ask you to prove that you may use the new address, and in practice the registrar almost never asks for it afterwards either. That does not make the address a formality: knowingly filing false data in the register is punishable, and it is the board member who answers for it. Keep a lease, the owner’s written consent or an agreement with a legal address provider on file, because a bank will certainly ask for one.
If the company cannot be reached at the address, the registrar can strike it out, note the contact difficulties on the company’s card and, if nothing is fixed, have the company dissolved. Our guide to proof of address for an Estonian company explains which documents banks accept.
Switching Your Address Provider
Many address changes are not moves at all but a switch from one legal address provider to another. You do not need the old provider’s permission to leave; you only need to end the contract on its own terms, so read the notice period before you file. Keep the old service running until the new entry appears in the register, otherwise the company has no working address for a few days.
If the new provider also becomes your contact person, the contact person entry changes in the same application. That change carries the €25 state fee even when the new address is in the same city. The fee is charged per application, not per change, so if a board member or the email address changes at the same time, it is still €25 in total.
One more point for companies with a foreign address. If the old provider was your contact person and withdraws, the registrar sets a deadline for appointing a new one and can strike the company off three months after that deadline passes, so line up the replacement before the old entry disappears.
After the Entry: Who Else Needs the New Address
State authorities, including the Tax and Customs Board, take the company address from the Commercial Register, so there is nothing to file with them. Your bank, customers, suppliers and the post office all need a message from you, and the bank will usually want a document showing the new address.
Changing Your Address With Eesti Firma
Whether the new address is in the same city, in another municipality or abroad, we prepare the resolution and the amended articles and file the change for you. If nobody on the board has an e-Residency card, we arrange the notary route. If you need the address itself, our legal address service places your company at Kadrioru Plaza in Tallinn, and for a company registered abroad we act as the licensed contact person. Our virtual office in Tallinn adds mail handling on top: incoming post is received, scanned and forwarded to you.
Frequently Asked Questions
Nothing if the new registered address is in the same city or rural municipality and the contact person stays the same. If the municipality changes, the address moves abroad or the contact person is replaced, the state fee is €25, plus the cost of drafting the resolution and articles if you have them prepared for you.
Estonian law requires the board to notify the register without delay. In practice, file the change in the week you move, because official mail keeps going to the old address until the register is updated.
Yes, as long as you actually receive mail there. An address outside Estonia also requires a licensed contact person. Many founders prefer a provider’s address so that their home address stays out of the public register, and note that earlier addresses remain visible in the register’s history after a change.
No. Only the address, and sometimes the contact person, changes in the register. The registry code, VAT number and bank accounts are not affected.
