De keuze bestaat uit drie delen: welk land, welke registratieroute en of u überhaupt een nieuwe onderneming nodig hebt. Estland past bij oprichters die herinvesteren: 0% vennootschapsbelasting op ingehouden winst, pas 22% bij uitkering en aandelenkapitaal vanaf €0,01 per aandeelhouder. Litouwen vereist €1.000 aan kapitaal en belast winst tegen 17%, met 0% in de eerste twee jaar voor nieuwe kleine ondernemingen die aan de voorwaarden voldoen. Crypto- en MiCA-vergunningen

MiCA — Verordening (EU) 2023/1114 — trad op 30 december 2024 in werking voor aanbieders van cryptoactivadiensten. De regels zijn nu in elke lidstaat gelijk en een CASP-vergunning van één nationale toezichthouder opent de hele EU-markt. De vraag is niet langer welke regels uw voorkeur hebben, maar bij welke toezichthouder u de aanvraag indient en wat de onderliggende entiteit kost. Het kapitaal hangt af van de dienstklasse: €50.000 voor advies en bemiddeling, €125.000 voor bewaring en handel, €150.000 voor een handelsplatform. Reken op drie tot zes maanden voor een CASP-aanvraag.

Financiële en kansspelvergunningen

Deze vergunningen worden verleend door financiële en kansspeltoezichthouders, niet via de bovenstaande cryptoregelingen: in Estland door de Financial Supervisory Authority en de Financial Intelligence Unit, en voor fondsen in Litouwen door de Bank of Lithuania. Ook de eisen verschillen: wettelijk vastgesteld aandelenkapitaal, een governance- en AML-dossier dat de toezichthouder beoordeelt, en beslistermijnen van maanden in plaats van weken. Crowdfunding en fondsbeheer staan er twee keer bij, eenmaal onder Estlands en eenmaal onder Litouws toezicht. De keuze draait daar dus om de toezichthouder aan wie u liever verantwoording aflegt.

    Structuur en rechtsgebied

    De rechtsvorm en het land worden gekozen op basis van de activiteit, niet bij voorbaat — een Estse OÜ, een Litouwse UAB of MB, of een vergunninghoudende entiteit in Estland, Litouwen, Polen of Tsjechië. Bij gereguleerde activiteiten bepaalt deze keuze alles wat volgt; er wordt daarom niets opgesteld voordat zij vaststaat.

    Documenten opgesteld

    De oprichtingsdocumenten worden opgesteld volgens de normen van het ontvangende register. Een vergunningsdossier bevat ook AML-procedures, risico-informatie en IT- en beveiligingsbeleid. Het tempo hangt hier grotendeels van u af: hoe snel ondertekende, notarieel bekrachtigde en, indien vereist, van een apostille voorziene documenten worden teruggestuurd.

    Ingediend bij het register of de toezichthouder

    Een oprichting wordt ingediend bij het Estse e-Business Register, of in Litouwen via een notaris bij Registrų centras. Een vergunningsaanvraag gaat naar de nationale financiële toezichthouder van de gekozen lidstaat, die deze beoordeelt en de naleving controleert voordat goedkeuring wordt verleend.

    Doorlopende ondersteuning

    Registratie sluit geen traject af, maar zet een kalender in gang. Wij dienen de bedrijfsstukken op tijd in en blijven het dossier beheren wanneer de structuur, eigenaren of vergunning wijzigen.

Vergunningen, bedrijfsdocumenten en maandelijkse boekhouding worden door één intern team onder één overeenkomst verzorgd en niet na registratie van het bedrijf uitbesteed aan een accountant. Prijzen en wat inbegrepen is

Elke prijs op deze pagina is een vanafprijs. Aan deze bedragen liggen vijf regels ten grondslag, die voor elke opdracht gelden.

  • Een opgegeven oprichtingsprijs is de totaalprijs. Estse oprichtingspakketten omvatten al de notaris- en overheidskosten — waaronder €265 registratiekosten — plus één uur juridisch of boekhoudkundig advies; de uitgebreidere pakketten bevatten ook een juridisch adres en contactpersoon voor het eerste jaar. Litouwse pakketten omvatten dezelfde onderdelen waar dit in het aanbod staat.
  • Aandelenkapitaal is geen vergoeding. Het is een storting in uw eigen bedrijf en blijft daar. Een Estse OÜ kan starten vanaf €0,01 per aandeelhouder; een Litouwse UAB vereist €1.000, waarvan vóór de aanvraag minstens €250 moet zijn gestort.
  • Overheidsheffingen worden apart betaald. Voor een vergunning voor een Estse financiële instelling geldt een verplichte overheidsheffing van €3.300, naast dienstverlening vanaf €5.000. Hebt u nog e-Residency nodig, dan kost de aanvraag €150 aan de Estse overheid en valt die buiten elk pakket.
  • Vergunningstrajecten worden na beoordeling per project geoffreerd. Voordat we een bedrag noemen, bekijken we het bedrijfsmodel, de eigendoms- en managementstructuur en de omvang van het werk — de prijs volgt de complexiteit, niet een prijslijst. Doorlopende boekhouding wordt op dezelfde manier geoffreerd, op basis van documentvolume, btw-status en salarisadministratie.
